Maase Inc. Secures $50 Million PIPE Financing to Scale Star Edge Computing Centers and Lingyan Miaoyu LLM

Maase Inc. (NASDAQ: MAAS), an AI-centric full-scene digital systems provider and operator, announced on September 23, 2026 that it has entered into a definitive securities purchase agreement with Crystal Peak Ltd. for a private investment in public equity financing expected to yield gross proceeds of approximately $50.0 million. Under the terms of the agreement, Maase will issue 3,878,856 Class A ordinary shares, par value $0.09 per share, at a purchase price of US$12.89 per share. The shares to be issued to Crystal Peak Ltd., a financial investment institution focused on AI infrastructure, will be subject to a 36-month lock-up. The closing remains subject to customary closing conditions and is expected to occur in October 2026.

The company plans to allocate the gross proceeds primarily to two strategic priorities, with remaining funds directed toward working capital for market expansion, recruitment of core R&D talent, and delivery of existing AI computing and enterprise AI solutions projects. The first priority is the expansion of Star Distributed Intelligent Computing Centers, which involves the procurement, deployment and technological iteration of containerized modular edge computing nodes, upgrades to the unified computing capacity scheduling platform, and support for green energy and energy storage integration projects. These investments are expected to support the fulfillment of existing computing services contracts and enable Maase to serve additional enterprise AI computing demands.

The second priority is the research, development and commercialization of the Lingyan Miaoyu Mixture-of-Experts Large Language Model. The company plans to enhance AI security and privacy-preserving computing capabilities, iterate enterprise private-deployment versions, continuously optimize the consumer-facing access portal, and establish datasets and an AI security laboratory to support the expansion of AI token services and customized large language model projects.
