The company, formerly known as Healthy Choice Wellness Corp. and now trading on NYSE American under the ticker HOST, said it intends to use the net proceeds for data center investments, general and administrative expenses, capital expenditures, working capital and other general corporate purposes. Host Digital has granted the underwriters a 30-day option to purchase up to an additional 328,125 shares of common stock at the public offering price, less underwriting discounts and commissions. Cantor acted as lead book-running manager for the offering, while Siebert, A.G.P. and Clear Street served as joint book-running managers. The offering was made under the company's effective registration statement on Form S-3, with a final prospectus supplement filed with the Securities and Exchange Commission.
The capital raise comes as Host Digital pursues a strategy focused on owning and controlling the real estate, power and data center infrastructure underlying its projects.
